QuickBooks · State filings · Multi-entity
Your books and filings, back in order.
A fixed-fee cleanup for small companies and groups of LLCs. We untangle QuickBooks, find every filing you've missed in every state, and prepare the paperwork to fix it.
Sound familiar?
Most owners only find out when a bank, a buyer or a state letter asks. None of it is unusual, and all of it can be fixed.
Suspended by the Franchise Tax Board, or administratively dissolved, and the bank wants a certificate.
Annual reports and statements in states you registered in years ago.
Hundreds of transactions sitting in For Review, months behind.
Payments recorded twice, deposits that don't match, a balance sheet you can't trust.
Money moving between entities with no record of who owes whom.
Your CPA needs clean books, and you're not sure where to start.
How a cleanup works
You add us to QuickBooks as an accountant user and answer a few questions. We do the rest, then hand it back clean with a calendar so it stays that way.
- Census
We map every entity, every state registration and every filing due, from state records.
- Clean
Reconcile every account, clear the bank feed, fix the chart of accounts and intercompany.
- Check
A certified QuickBooks ProAdvisor reviews every change before you see it.
- File
We prepare annual reports, statements and reinstatement paperwork. You review and sign.
- Hand back
Clean books, a one-page summary and a compliance calendar for every entity.
Pricing
One fixed fee, quoted upfront
The quote depends on how many entities, how many states and how far behind the books are. You see it in writing before anything starts. No hourly billing.
- Health check and quote, free
- Cleanup at a fixed fee
- Optional monthly upkeep afterwards
What we don't do
Clear lines, on purpose
- We're not a CPA firm. Tax returns go to a licensed CPA, and we work alongside yours.
- We don't give legal advice or act as your registered agent.
- We never ask for your password. You invite us as an accountant user and can remove us any time.
After the cleanup
Need more than a cleanup? Fractional COO.
For groups of companies, family offices and founders who've outgrown doing the back office themselves. Most engagements start with a cleanup, because you can't run what you can't see.
- One picture of every entity, bank account and set of books
- Monthly reporting and cash planning across the group
- Bookkeepers, CPAs and lawyers coordinated, deadlines tracked
- Processes and automation so it runs without you
Who's behind it
Nebula Ventures, run by James Kouzinas
James is a fractional COO. He has run operations for family offices and multi-company groups in the US and UK, where messy books and missed filings are everyday work. Nebula Ventures has worked with operators since 2019, and uses automation for the slow parts: matching transactions, checking state records, tracking deadlines.
Free health check
Tell us what's wrong
Two minutes. We reply by email within one business day with what we'd look at first and how we'd price it.
Need more than a cleanup? We also run operations for groups of companies as a fractional COO. Mention it in the notes.
Got it. Thank you.
We'll reply to within one business day. If something's urgent, like a deadline this week, say so in your reply and we'll look at it first.
Questions
If yours isn't here, put it in the form.
How much does a cleanup cost?
It depends on the number of entities, states and months behind, so we quote a fixed fee after the free health check. You'll have the number in writing before any work starts.
How long does it take?
We agree the timeline along with the fee. Because most of the matching and research is automated, it's usually far quicker than a traditional catch-up.
Do you need my QuickBooks password?
No. You invite us as an accountant user from inside QuickBooks, and you can remove that access whenever you like.
Which states do you cover?
Any US state. We check each state's own records to see where you're registered and what's due.
Who checks the work?
Every change to your books is reviewed by a certified QuickBooks ProAdvisor before we hand it back. Anything that's a tax return goes to a licensed CPA.
Can you get my company back in good standing?
Usually, yes. We find out what's missing, prepare the overdue reports and reinstatement forms, and you sign. Any state fees and back taxes are paid to the state at cost.
Will you replace my accountant?
No. We hand your CPA clean books. If you don't have one, we can introduce you.
What happens after the cleanup?
You can take it from there with the calendar we give you, or keep us on for monthly upkeep.
